Terms of Service
This is an agreement between ProjectLocker and the subscriber. By subscribing to the ProjectLocker service, you agree to all of the following terms of usage without modification or exception.
The subscriber agrees to payment at the terms listed in the order form. The subscriber will be billed automatically at the beginning of each term, and has the freedom to unsubscribe at anytime by contacting support@projectlocker.com. To guarantee unsubscription, ProjectLocker must receive notification at least 24 hours before your subscription is set to re-bill. All payments are non-refundable once service has been activated. If payment is not received within 15 days of the re-bill date, the account will be disabled. If payment is not received within 30 days of the re-bill date, the account will be terminated.
Contract terms each constitute commitments by the subscriber to pay the full amount specified by the contract term. The subscriber is obligated to pay the full amount whether or not the subscriber chooses to continue to use the service. Each initiation of a contract has a thirty day opt-out period during which a contract may be cancelled. If the customer wishes to opt out of an extended contract term during the opt-out period and does not specify a new term or indicate a desire to end subscription, the customer is reset to a monthly contract term. Monthly contract terms have no opt-out period and are due in full each month per this agreement.
ProjectLocker reserves the right to terminate access to any of its services without prior notice and for any reason. When an account is terminated by the subscriber or by ProjectLocker, the subscriber can request delivery of their source control repository and issues data digitally. The subscriber is responsible for any transmission or shipping costs incurred.
The subscriber retains all rights to the data uploaded to ProjectLocker or that they create using ProjectLocker tools. ProjectLocker will not access this information except to provide account maintenance or to comply with law enforcement requirements.
ProjectLocker and the respective copyright holders of ProjectLocker services retain rights to all content and media related to the site not uploaded by the client and protected under the terms of this agreement. The client may not redistribute or claim any content or media copyrighted by ProjectLocker or the respective copyright holders.
ProjectLocker reserves the right to levy additional fees for usage that it deems to be substantially above the expected usage level for the level of service purchased after notifying a representative of the subscriber via e-mail, by phone, or in writing at its discretion. The subscriber has the option to pay the additional fees or to end service. If the subscriber is on a month-to-month contract and opts to end service, the user will not be re-billed, but will not receive a refund for any billed services. If the subscriber does not respond to notice of additional fees, ProjectLocker may charge the additional fees or terminate the service at its discretion.
The subscriber agrees to use the service in an appropriate manner. Inappropriate uses include but are not limited to the storage of illegal content, adult content, or as a means to conduct malicious activities against others. ProjectLocker reserves the right to terminate an account found to be engaging in inappropriate uses without notice or refund of prior fees.
ProjectLocker makes no warranties about the quality, performance, or security of any of its services and claims no liability for data loss, security breaches, or any other problems or losses that may result from the usage of this service. In addition, the subscriber indemnifies and holds ProjectLocker and all affiliated entities harmless from any claims or damages charged by a third party against the subscriber related to the subscriberís usage of the service. By usage of this service, the subscriber waives all right to claims and damages arising out of or related to the usage of any of the ProjectLocker services.
It is the subscriber’s responsibility to protect user names and passwords and prevent them from being used inappropriately, as well as to inform ProjectLocker should a breach occur of which they are aware.
These terms and conditions of usage may be changed by ProjectLocker at any time. The subscriber is responsible for reviewing the terms and conditions of usage on a regular basis. The subscriber may request the latest terms and conditions of usage from ProjectLocker at any time via the support@projectlocker.com e-mail address. The subscriber’s maintenance of a subscription is considered consent to the current terms and conditions.
This agreement is governed by the laws of the State of California and the laws of the United States of America. Any disputes pertaining to this agreement requiring judicial action will only take place in the State of California.
